Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms and constitutes a legal contract between Unison LLC (“Company”, “we”) and the user of the Service (“you”). By accessing or using the Service, you agree to be bound by the Terms. If you disagree with any part of the Terms, you do not have permission to access or use the Service. All information we receive as a result of your use of the Service will be treated in accordance with our Privacy Policy, which forms part of these Terms. Your use of the Service confirms your data and understanding that your information will be stored and governed in accordance with the Policy.
THE SERVICE IS IN BETA TESTING PHASE AND MAY CONTAIN UNDETECTED DEFECTS. THE MAIN PURPOSE OF THIS BETA RELEASE IS TO RECEIVE FEEDBACK ON THE PERFORMANCE OF THE SERVICE. WE ENCOURAGE YOU TO BE CAUTION AND NOT RELY ON THE PROPER FUNCTIONING OR PERFORMANCE OF THE SERVICE. YOU ACCEPT AND AGREE THAT YOU ASSUME ALL RISKS ASSOCIATED WITH ACCESS AND USE OF THE SERVICE, AND THAT THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY AS TO ITS RELIABILITY, STABILITY OR OPERATION, EXPRESS OR IMPLIED . IF YOU ARE NOT WILLING TO ACCEPT THE RISKS ASSOCIATED WITH USE OF THE SERVICE, YOU SHOULD NOT USE THE SERVICE AT THIS EARLY STAGE OF DEVELOPMENT.
Subject to these Terms, the Company grants you a non-commercial, non-exclusive right to access and use the Service. Other than this license, Company retains all right, title and interest in and to the Service. This agreement is subject to the following external conditions:
This license allows you to store and use the Service on one or more computing devices solely for the purpose of providing evaluation tests of the Service with external services and software that we determine are compatible with the Service.
This license and your rights to access and use the Service, including all Service software provided to you, terminate upon termination.
The Service is for your personal use only, and you may not sell, rent, lease or otherwise provide the Service or any Service software to any third party. We will be grateful if you direct any person interested in professional Service to contact us directly at hello@yuchat.ai
You are prohibited from making any copy of the Service's software, except copies that make modifications during normal operation or record any images of use of the Service.
You agree not to decompile, reverse compile or reverse engineer the Service's software except as permitted by law notwithstanding this prohibition.
Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, video or other material (“Content”). You are responsible for the Content you upload and use on the Service, including its legality, reliability, and appropriateness. You also decide whether to provide Content. By posting Content on or through the Service, you represent and warrant that: (i) the Content is yours (you own it) and/or you have the right to use it and the right to grant us the rights and license as provided in these Terms, and ( ii) the posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity. We reserve the right to terminate the account of any user who we determine is acting in violation of this warranty. Except for the license right you grant to us in these Terms, you retain all of your rights to any Content you submit, post or display on or through the Service, and you are responsible for protecting those rights. We take no responsibility and assume no liability for Content that you or any third party posts on or through the Service. By uploading Content to the Service and as necessary to provide the Services to us, you grant us a worldwide, non-exclusive, royalty-free, fully paid, irrevocable, worldwide, perpetual license, which we may sublicense and transfer, to use, create, perform, reproduce , modifying, adapting, displaying, performing, distributing, creating derivative works from, importing and exporting your Content in such a manner as we determine is necessary to operate the Service and permit others to do all of the foregoing. The rights you grant in this license are for the limited purpose of operating and providing our Services. In addition, Content found on or through the Service is the property of Unison Technologies or used with permission. You may use YuChat tools and recordings created using these tools for commercial purposes. However, you may not distribute, modify, transmit, reuse, download, republish, copy, or use Content found on or through the Service for commercial or personal purposes without prior written permission from us.Conduct and Acceptable UseWe strive to create a diverse, inclusive and welcoming culture. Although we do not monitor your video or voice conversations, broadcasts, speeches, educational presentations or other communications you may use with the Service on third party service platforms (these activities are subject to the Terms of Service of the third party service providers you choose), we require that that your use of the Service, including any Content created using the Service (regardless of how it is subsequently used and distributed), complies with our rules of conduct and acceptable use. We require that you comply with the guidelines below, which may be updated from time to time to reflect changes to the Service, applicable law and/or the wishes of our customers or at our discretion. Do not violate any laws or regulations that apply to you or your use of the Service. You, and not the Company, are responsible for compliance with any laws or regulations applicable to Content you receive, create or share while using the Service.Do not use third party services in connection with the Service in violation of any third party policies or requirements or in any other manner that violates laws or regulations protecting any other person. The Service, the Service software, its original content provided by us (excluding Your Content), features and functionality are and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Unison Technologies.
The Service is confidential and proprietary information of the Company and a trade secret. You agree not to disclose any information related to the Service that you obtain while evaluating this beta version of the Service (including, without limitation, any design and performance features, the results of any performance tests/benchmarks, and any authorization codes or license keys) to third parties without our prior written permission. This non-disclosure obligation will continue for a period of two years following termination of these Terms.
You agree that one of our goals in providing this beta version of the Service to you is to receive your feedback on what you like, what you don't like, what works well, and what problems you encounter while using the Service (all of these together referred to as "Reviews"). You agree to use reasonable efforts to provide Feedback to us in order to continue using the Service in any reasonable manner that we may request, including by email or other means of communication that we may designate from time to time. You also agree to receive communications from us related to your use of the Service, as well as occasional communications informing you of changes and updates to the Service, requesting your Feedback, providing invite codes to share, and any other information we deem necessary for participation in the beta program. All Feedback will be considered confidential information of the Company and the exclusive property of the Company, and may be used by the Company in any manner without restriction or liability to you. We are free to use for any purpose any ideas, concepts, knowledge and techniques obtained from our access to or action on any Feedback provided in connection with your use of the Service.
Although we expect to provide updates to the Service and recommendations for using the Service as we update it, we have no obligation to provide specific support to you regarding use of or modifications to the Service. We may or may not announce general commercial availability of the Service with functionality that we determine in our sole discretion. Your participation in evaluating the Service does not entitle you to use any new or commercial version of the Service, and any access to or rights to use a subsequent release of the Service will be subject to a separate agreement between you and us.Links to other websitesOur Service may contain links to third-party web sites or services that are not owned or controlled by the Company. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect.
